Letwork Terms of Service

Please read these Terms of Service (“Terms”) carefully because they contain important information about your legal rights, remedies, and obligations. By accessing or using the Letwork Platform, you agree to be bound by these Terms.

These Terms form a legally binding agreement between you and Letwork, Inc., a Delaware corporation (“Letwork,” “we,” “us,” or “our”). These Terms govern your access to and use of the Letwork website, including any subdomains, mobile applications, and related services (collectively, the “Letwork Platform”).

Our Privacy Policy, Content Policy, Nondiscrimination Policy, Sublet Agreement, and any other policies or guidelines we post or link on the Letwork Platform are incorporated into these Terms by reference.

No Legal Advice. Letwork is a marketplace platform that helps facilitate student subleasing. Letwork does not provide legal advice. Any forms, templates, guidance, or sample agreements made available through the Letwork Platform, including any Sublet Agreement template, are provided for general informational purposes only. Local laws, school policies, lease terms, and landlord requirements may impose additional obligations. You are solely responsible for understanding and complying with those requirements.

1. Scope of Letwork Services

1.1 Marketplace Only

Letwork is an online marketplace that allows users to create accounts, publish temporary housing listings (“Listings”), communicate with one another, and arrange sublease-related transactions. Users who publish Listings are referred to as “Hosts,” and users who inquire about or book Listings are referred to as “Guests.” Hosts and Guests are each referred to as a “Member” and together as “Members.”

1.2 Letwork Is Not a Party to Member Transactions

Letwork does not own, lease, manage, control, furnish, or operate any Listing. Letwork is not a landlord, property manager, broker, real estate agent, insurer, or legal representative of any Member. When a Host and Guest choose to enter into a sublease or related arrangement, that agreement is made directly between them. Letwork is not a party to that agreement and is not responsible for the performance, conduct, safety, legality, quality, or condition of any Listing or transaction.

1.3 No Guarantee

Any verification badge, label, review, rating, profile information, or other indicator shown on the Letwork Platform is provided for convenience only and does not constitute an endorsement, certification, or guarantee by Letwork. You are solely responsible for conducting your own diligence before entering into any arrangement.

1.4 Platform Availability

We may modify, suspend, restrict, or discontinue all or any part of the Letwork Platform at any time, with or without notice, for maintenance, security, operational, legal, or business reasons.

2. Eligibility and Account Registration

2.1 Age and Capacity

You must be at least 18 years old and able to enter into a legally binding contract to use the Letwork Platform. By using the Letwork Platform, you represent and warrant that you meet these requirements.

2.2 Accurate Information

You agree to provide accurate, current, and complete information when creating an account and to keep that information updated.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, except to the extent caused by our negligence or willful misconduct. You must notify us promptly if you suspect unauthorized access or use of your account.

2.5 Verification

We may require identity verification, student-status verification, or other screening before allowing access to certain features. We may refuse, suspend, or revoke verification at any time in our discretion.

3. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may provide additional notice through the Letwork Platform or by email. Your continued use of the Letwork Platform after updated Terms become effective means you accept the revised Terms.

4. Listings and Member Responsibilities

4.1 Host Responsibilities

Hosts are solely responsible for their Listings, including ensuring that each Listing is accurate, complete, lawful, and not misleading. Hosts must disclose all material terms, restrictions, fees, rules, availability, and known issues relating to a Listing.

4.2 Legal Compliance

Hosts are solely responsible for ensuring that offering a Listing or entering into a sublease does not violate their lease, landlord requirements, university housing rules, building policies, homeowners association rules, insurance requirements, or applicable laws.

4.3 Guest Responsibilities

Subleases are solely responsible for determining whether a Listing meets their needs and for complying with any applicable sublease terms, house rules, property rules, and laws.

4.4 Member Conduct

You are responsible for your own behavior and for the behavior of anyone you invite, allow, or authorize to access a Listing or use the Letwork Platform through your account or arrangement.

4.5 No Housing Guarantee

Letwork does not guarantee that any Listing will be available, accurate, habitable, safe, legal, or suitable for any purpose. Letwork is not responsible for landlord consent, lease enforceability, property condition, roommate compatibility, or the outcome of any housing arrangement.

5. Fees, Payments, and Anti-Circumvention

5.1 Service Fees

Letwork may charge platform fees, service fees, listing fees, matching fees, handshake fees, processing fees, or other fees in connection with the use of the Letwork Platform (collectively, “Service Fees”). Any applicable fees will be disclosed before you complete the relevant transaction.

5.3 Anti-Circumvention

You agree not to bypass, avoid, or circumvent Letwork or its fees by completing a transaction outside the Letwork Platform after meeting, discovering a Listing, or being introduced through the Letwork Platform. If you do so, you remain responsible for all applicable Service Fees, and Letwork may suspend or terminate your account, remove Listings, deny future access to the Platform, and pursue any other remedies available under law or equity.

5.4 Handshake or Matching Fees

Where applicable, Letwork may require both parties to pay a Handshake Fee or Matching Fee before certain contact information, messaging privileges, or transaction details are released. Unless otherwise stated at checkout or required by law, these fees are non-refundable.

5.5 Payment Processing

Payments may be processed through third-party providers such as Stripe. By making or receiving payments through the Letwork Platform, you agree to comply with the applicable third-party payment processor terms. Letwork does not store full payment card information.

5.6 Fee Changes

We may change our fees at any time on a prospective basis. New fees or fee changes will not apply retroactively to completed transactions unless required by law or expressly disclosed.

6. Booking, Cancellations, Refunds, and Disputes

6.1 Member Agreements

When a Host accepts a subleaser or when Users otherwise move forward with a transaction, they enter into a direct agreement with one another. Letwork is not a party to that agreement.

6.2 Cancellations and Refunds

Any refund of rent, deposits, or other User-to-User payments is governed by the agreement between the Host and Guest, not by Letwork.

6.3 Platform Intervention

Letwork may, but is not obligated to, investigate complaints, facilitate communications, or take steps to address fraud, safety concerns, fee avoidance, misuse, illegal activity, policy violations, or other disputes. Any action we take does not make us a party to the dispute.

6.4 Damage and Conduct Issues

Subleasers are responsible for leaving a property in substantially the condition in which it was received, subject to ordinary wear and tear. Hosts and Subleasers agree to cooperate in good faith if a dispute arises relating to property condition, damage, payments, or conduct.

7. Content and Intellectual Property

7.1 User Content

You may submit, upload, post, transmit, or otherwise make available text, photos, videos, reviews, profile information, listing details, and other content through the Letwork Platform.

7.2 Letwork Content

The Letwork Platform, including its design, branding, logos, software, text, graphics, and other content provided by Letwork, is owned by Letwork or its licensors and is protected by intellectual property laws. Except as expressly permitted by us, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, scrape, or commercially exploit any part of the Letwork Platform.

9. Monitoring, Enforcement, and Termination

9.1 Monitoring

We may, but are not obligated to, monitor use of the Letwork Platform, review Users Content, investigate complaints, and take action we deem appropriate.

9.2 Enforcement Actions

We may remove content, suspend Listings, withhold payouts where permitted, limit account access, cancel transactions, or suspend or terminate accounts if we believe a user has violated these Terms, our Policies, applicable law, or has created risk for Letwork, other users, or third parties.

9.3 Termination

You may stop using the Letwork Platform at any time. We may suspend or terminate your access immediately, with or without notice, for any reason permitted by law, including suspected fraud, unsafe conduct, policy violations, fee avoidance, legal risk, or misuse of the Platform.

13. Dispute Resolution, Governing Law, and Venue

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.2 Venue

To the extent a dispute is permitted to proceed in court, you and Letwork agree that the state and federal courts located in Delaware will have exclusive jurisdiction, except where applicable law requires otherwise.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Policies and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Letwork regarding the Letwork Platform.

14.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

14.5 Electronic Communications

By using the Letwork Platform, you consent to receive electronic communications from us, including notices, disclosures, agreements, and transactional messages. You agree that such electronic communications satisfy any legal requirement that communications be in writing.

14.6 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and Letwork.
